Welcome! These Terms and Conditions ("Terms") govern the provision of web design and development services ("Services") provided by Web Codex Co. ("Company", "we", "us", "our") to the client ("Client", "you", or "your").
By engaging our Services, you agree to be bound by these Terms. Please read them carefully.
1. Definitions
- "Project" refers to the specific web design and development work outlined in our agreed-upon proposal, quote, or package.
- "Deliverables" refers to the final website, designs, code, and graphics produced as part of the Project.
- "Launch" refers to the date the website is made publicly accessible on your domain.
2. Scope of Services
We offer web design services structured into three distinct packages: Essential, Studio, and Signature. The specific scope, features, and timeline for your Project will be detailed in your individual project proposal or invoice. Any additional work outside the agreed-upon scope will require a separate agreement or change order and may incur extra costs.
3. Client Responsibilities
To ensure the Project stays on schedule, you agree to:
- Provide all necessary content (text, images, logos) in a timely manner.
- Review design drafts and provide constructive feedback within agreed timeframes.
- Ensure you have the legal right or appropriate licenses for any media or text you provide.
- Communicate promptly regarding any questions or approvals.
Note: Delays in providing feedback or content may result in corresponding delays to the Project timeline.
4. Payment Terms
Unless otherwise specified in your specific proposal, the standard payment structure for Projects is:
- 50% Non-Refundable Deposit: Due upfront before any work commences. This reserves your spot in our schedule.
- 50% Final Balance: Due upon Project completion, prior to handing over the final Deliverables or transferring the website to your live domain.
Invoices are due within 14 days of receipt. We reserve the right to pause work or withhold the final website launch until outstanding payments are settled.
5. Design Revision Rounds
Revisions are an important part of the design process. A "Revision Round" consists of you reviewing a delivered draft and providing a consolidated list of feedback.
- What counts as a revision: Minor adjustments to layout, color tweaks, font changes, or swapping images/text within the existing design structure.
- What counts as a new request: Entirely new pages, completely altering the layout structure after initial approval, or requesting new functionality not outlined in the original scope.
The number of included Revision Rounds depends on your selected package:
- Essential Package: 1 Revision Round included.
- Studio Package: 3 Revision Rounds included.
- Signature Package: Unlimited Revision Rounds (within the original project scope).
Additional charges: If you exceed the included Revision Rounds for the Essential or Studio packages, further revisions will be billed at our standard hourly rate as stated in your proposal or invoice. We will always notify you and obtain your approval before logging billable hourly revisions.
6. Launch Protection Period
We want to ensure your website runs smoothly after it goes live. The "Launch Protection Period" is a time-limited support window that begins on the official Launch date.
- What is included: Fixing bugs, correcting broken links, and resolving responsive design issues that deviate from the final approved design.
- What is not included: Adding new features, altering the layout, adding new pages, or creating new content.
The duration of the Launch Protection Period depends on your package:
- Essential Package: 14 days of protection.
- Studio Package: 30 days of protection.
- Signature Package: 60 days of protection.
After the Protection Period ends: Any further requests for support, updates, or fixes will require either a separate ongoing website maintenance package or will be billed at our standard hourly rate as stated in your proposal or invoice.
7. Intellectual Property Rights
Upon receipt of full and final payment, you will own the final website design, graphics, and visual elements created specifically for your Project.
- Pre-existing material: We retain ownership of any pre-existing code, tools, or frameworks used to build the site, but grant you a non-exclusive, perpetual license to use them as part of your final website.
- Portfolio rights: We reserve the right to showcase the completed Project in our design portfolio, on our website, and on social media for promotional purposes.
8. Limitation of Liability
While we strive to deliver high-quality, error-free work, we cannot guarantee that the website will be completely uninterrupted or secure from third-party hacking.
To the maximum extent permitted by law, our liability for any claim arising out of this agreement or the Services provided shall not exceed the total amount paid by you for the Project. We are not liable for any indirect, incidental, or consequential damages, including lost profits or lost data.
9. Termination
Either party may terminate the Project by providing written notice if the other party breaches these Terms.
- If you choose to terminate the Project for any reason other than our breach of contract, the 50% upfront deposit will be retained to cover the time and resources already invested.
- If the work completed at the time of termination exceeds the value of the deposit, you will be invoiced for the remaining uncompensated hours.
10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the applicable province in Canada, and the federal laws of Canada applicable therein. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the Canadian courts.
